Terms of Use of the Nestlé Content Hub Asset Management system
The Nestlé Content Hub Asset Management system (the "System") is a system to share, store and manage Nestlé's digital marketing, packaging and communication assets (the “Assets”). These Terms of Use (“Terms”) apply to and govern the use of the System by users which are Nestlé employees, advertising agencies, sales agents and any other authorized third party partner or supplier (“you” “yours”).
Use of Assets and System
- By accessing to this System, you agree to be bound by these Terms, to use the Assets in accordance with these Terms, to comply with all usage rights and restrictions before repurposing, and to submit all relevant information related to usage rights and restrictions. Failure to do so will be at your own risk.
- You acknowledge that all Assets are the intellectual property of Nestlé (or its licensors), and the System may contain trade secrets and confidential information which you shall treat as confidential unless instructed otherwise by Nestlé. If you store any Asset or information from the System in any file repository or your computer, you shall at all times be in control of the access to such item and your computer, that item is deleted as soon as it is not necessary anymore.
- Any use of the Assets is strictly conditional upon full compliance with the usage rights and/or restrictions (as stated in the “IP Document”) as described within the System. You must refer to the usage rights defined in the “IP Document”.
- If you are unsure of the usage rights and/or restrictions of any Asset (for example: online use), you shall communicate with your appointed Nestlé marketing contact or Nestlé Legal Intellectual Property team.
- When uploading an Asset, you shall describe and document in detail the usage rights and restrictions attached to the Asset (e.g. copyright agreement, model authorization of use). You shall define the scope of usage rights and/or restrictions, so others can make a preliminary decision on how to use the Assets. Final assessment as to the scope of the usage rights shall be performed according to the exact wording of the “IP Document”.
Access to the System
- Only Nestlé personnel, Nestlé contractors, distributors and agencies will be granted usage access. Non-Nestlé Employees will only be granted limited access for confidentiality reasons. Non-Nestlé employees’ access shall be restricted and only permit access through agreeing to obligations on confidentiality (e.g. signing a Non-Disclosure Agreement).
- Authorized users shall at all times comply with Nestlé's access control and security requirements as set out in Nestlé Globe Security Policy [M192] and any other instruction of Nestlé from time to time.
- Users shall protect and secure passwords at all times in accordance with the Global Standard section of the Password Management standard:
- At no time should you share your user ID and/or password with any other person and you should take reasonable steps to protect your access credentials at all times, pursuant to Nestlé Policy.
- Passwords must be kept confidential.
- If you suspect that either your user ID and/or password has been revealed to another person or compromised in any fashion, please report this immediately to your Nestlé marketing contact.
- Passwords must not be shared for named user accounts.
- Sent in clear text (e.g. over email or text messages) together with the account.
- Passwords must not contain:
- Personal Identifiable Information such as children’s names, hobbies, favorite sports teams, license number, user’s birth date, street address, pet’s name, etc;
- Nestlé brands or known Nestlé keywords such as Nestlé, Nespresso, etc;
- No more than two identical characters or words in a row e.g. aabb1122;
- The user’s account or userID;
- Please notify your Nestlé marketing contact as soon as it becomes known that you will be leaving the employment of your company.
Use of the System
- You accept that all Nestlé marketing information and assets contained in the System should be seen as the primary source of this class of information and supersedes all systems similar in nature.
- If your application for access is rejected, any queries regarding the rejection of your application must be channelled through your appointed Nestlé contact.
- You acknowledge that any violation of these Terms and other Nestlé terms and conditions will result in the immediate suspension of your access to the System.
- You shall not tamper with the System or introduce any virus or other disabling or monitoring device that will interfere with the normal operations of the System, be it hardware, network or and/or software.
- Nestlé reserves the right to monitor at any time and without prior notice user access to and activity on the System in order to ensure compliance with these Terms of Use and the protection of Nestlé's legitimate interests.
- Nestlé reserves the right to change these Terms from time to time. Notice of these changes will be displayed on the front page of the System. Your continued use of the System following changes will constitute your acceptance of such changes. Please review these Terms whenever you visit the System.
